Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Vaster Minds GmbH, Charlottenstraße 14, 52070 Aachen, Germany ("Vaster Minds", "we", "our", "us"), governing your access to and use of the Mentro application and all associated services (the "Service").

By registering for an account, downloading the app, or otherwise accessing the Service, you confirm that:

• you have read and understood these Terms;
• you are at least 16 years of age; and
• you have the legal capacity to enter into a binding contract under applicable law.

Description of Service

Mentro is a conversation-tracking app that helps you keep track of the people in your life and the topics you want to discuss with them. The Service allows you to:

• add people and assign conversation topics (Ask, Tell, Decide) to each person;
• mark topics as done, after which they are automatically deleted after 5 days;
• manage your topics across iOS, web, and macOS platforms.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice, as described in Section 11.

User Accounts

Account creation. You may register using an email address and password, Sign in with Google, or Sign in with Apple. You agree to provide accurate, current, and complete information during registration and to keep it up to date.

Account security. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at info@vasterminds.com if you become aware of any unauthorized use.

Account deletion by you. You may delete your account at any time via Settings → "Delete Account" in the app, or by contacting us. Upon deletion, all your data is permanently removed from our active systems.

Account termination by us. We reserve the right to suspend or terminate your account immediately if you materially breach these Terms, engage in harmful conduct, or if required by applicable law.

Free & Pro Plans — Subscriptions, Billing, and Refunds

Mentro is available in two tiers:

Billing. Pro plan subscriptions are processed by Stripe, Inc. By subscribing you authorise Stripe to charge your payment method on a recurring basis. Prices are displayed inclusive of applicable taxes at the point of purchase.

Cancellation. You may cancel at any time via your account settings or through the app store through which you subscribed. Cancellation takes effect at the end of the current billing period.

Refund policy.

• Monthly subscriptions: If you cancel within 14 days of the initial purchase and have not meaningfully used Pro features, you may request a full refund at info@vasterminds.com.
• Annual subscriptions: Non-refundable once paid, except where required by mandatory consumer protection law. EU consumers retain a 14-day cooling-off right on the initial purchase, provided Pro features have not been used.

Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• violate any applicable local, national, or international law or regulation;
• store, transmit, or process data relating to a third party without a lawful basis under applicable data protection law;
• attempt to gain unauthorized access to any part of the Service, its servers, or connected systems;
• scrape, crawl, or extract data from the Service by automated means without our prior written consent;
• reverse-engineer, decompile, or attempt to derive the source code of the Service;
• introduce viruses, trojans, or other malicious material into the Service; or
• use the Service to process sensitive personal data categories (Art. 9 GDPR) without our express written agreement.

User Content

Ownership. You retain full ownership of all content you input into the Service, including the names of people you add, conversation topics, and notes ("User Content"). These Terms do not transfer any intellectual property rights in your User Content to Vaster Minds.

License to us. By using the Service, you grant Vaster Minds a limited, non-exclusive, worldwide, royalty-free license to store, process, and display your User Content solely to provide the Service to you. This license terminates when you delete the relevant content or your account.

Data processing. All User Content is processed in accordance with our Privacy Policy, which forms an integral part of this agreement.

Intellectual Property

All intellectual property rights in the Service — including the Mentro name, logo, brand assets, software, source code, design, and documentation — are owned by or licensed to Vaster Minds GmbH and protected by German and international copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. You may not copy, modify, distribute, sell, or sublicense any part of the Service.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind. To the fullest extent permitted by applicable law, Vaster Minds GmbH expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranty that the Service will be uninterrupted or error-free.

Limitation of Liability

To the fullest extent permitted by German law:

• Vaster Minds GmbH shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of data or loss of profits, arising from your use of or inability to use the Service.
• Our total aggregate liability for any claims under these Terms shall not exceed the greater of (a) the total fees paid by you in the 12 months preceding the claim, or (b) €50.

Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, fraudulent misrepresentation, or any other liability that cannot be excluded under mandatory German or EU law.

Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Federal Republic of Germany, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG).

Subject to mandatory consumer protection provisions, the courts of Aachen, Germany shall have exclusive jurisdiction. EU consumers may also use the EU Online Dispute Resolution platform: ec.europa.eu/consumers/odr.

Changes to These Terms

When we make material changes to these Terms, we will notify you by email at least 30 days before the new Terms take effect and display a prominent notice in the app.

Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service before the effective date.
